In a significant legal development for the real estate industry, national law firms Robbins Geller Rudman & Dowd LLP, Girard Sharp LLP, and The Hall Firm, Ltd. have filed a securities class action against Compass, Inc. (NYSE: COMP) and certain of its officers and directors, as well as Anywhere Real Estate Inc. The lawsuit, filed in the United States District Court for the Southern District of New York and captioned Magloire v. Compass, Inc., et al., No. 1:26-cv-08885, asserts claims under Sections 11, 12(a)(2), and 15 of the Securities Act of 1933 on behalf of former Anywhere shareholders who acquired newly issued Compass common stock in the January 9, 2026 stock-for-stock merger.

The class action arises from the merger transaction in which Compass acquired Anywhere, with former Anywhere shareholders receiving Compass stock in direct exchange for their securities. The plaintiffs allege that the registration statement and related documents contained material misstatements or omissions, leading to potential violations of federal securities laws. The law firms involved are well-known for their expertise in complex class actions and shareholder rights litigation, suggesting a robust legal challenge ahead.

The lawsuit could have far-reaching implications for Compass and Anywhere, potentially affecting investor confidence and the companies' stock performance. As the case progresses, it may also shed light on the adequacy of disclosures made during the merger process. Neither Compass nor Anywhere has issued a public statement regarding the litigation. The plaintiffs are seeking unspecified damages and other relief. The case is pending in the Southern District of New York, with no trial date set.
